The Research-Use-Only Agreement.

01Nature of the products

The compounds supplied by We Are Nox Ltd are investigational research chemicals intended exclusively for in-vitro laboratory research and analytical reference purposes.

The products are not:

• medicinal products within the meaning of the Human Medicines Regulations 2012;
• food, food supplements or nutraceuticals;
• cosmetics or topical preparations;
• veterinary medicinal products;
• approved by the MHRA, EMA, FDA or any equivalent regulator for any therapeutic, prophylactic, diagnostic or veterinary use.

02Buyer warranties

By placing an order, you irrevocably warrant and confirm that:

1. You are aged 18 years or older.
2. You are acquiring the products for research, reference or analytical purposes.
3. You will not, under any circumstances, administer the products to:
   • yourself;
   • any other person, whether with or without their consent;
   • any animal, whether your own or otherwise.
4. You will not resell, redistribute, gift, transfer, repackage or otherwise make the products available to any third party for the purpose of human or animal administration.
5. You will not represent the products as being suitable for any therapeutic, prophylactic, diagnostic, cosmetic or veterinary purpose.
6. You will store, handle and dispose of the products in accordance with the conditions stated on the label.
7. You will comply with all laws and regulations applicable to your possession and use of these compounds in your jurisdiction, including those relating to importation and controlled substances.

03Acknowledgement of risk

You acknowledge that:

• research compounds have not been tested for safety or efficacy in humans or animals;
• their pharmacological, toxicological and side-effect profiles are incompletely characterised;
• any administration of these products to a living organism may cause serious harm or death;
• We Are Nox Ltd has no clinical relationship with you and provides no medical advice of any kind.

04Indemnity

You agree to indemnify, defend and hold harmless We Are Nox Ltd, its directors, employees and agents from and against any claim, loss, damage, liability, fine or expense (including reasonable legal costs) arising from:

• any breach by you of this Agreement;
• any use of the products contrary to the warranties in clause 2;
• any administration of the products to any human or animal;
• any onward supply or distribution of the products by you.

05Right to refuse

We reserve the unconditional right to:

• refuse any order or class of orders, at our sole discretion;
• request additional verification of your professional or institutional status before fulfilment;
• cancel and refund any order where we have reason to believe these conditions are not, or will not be, met;
• decline to supply any compound to any individual buyer at our sole discretion.

06This agreement is binding

This Research-Use-Only Agreement is incorporated into our Terms of Supply and forms a binding part of every contract you enter into with us. It cannot be varied or waived by any oral statement, email or course of dealing. The version applicable to your order is the version current at the time of order.
