01About these terms

These Terms of Supply (the “Terms”) govern the sale of products by We Are Nox Ltd (“we”, “our”, “us”) to the customer (“you”, “your”) via our website at wearenox.io (the “Site”).

By placing an order with us you confirm that you have read, understood and accept these Terms in full. If you do not accept these Terms, you must not place an order. Please read them carefully and keep a copy for your records.

We Are Nox Ltd is a private limited company registered in England and Wales under company number 17224065, with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. References on the Site to “NOX” or to “us” are references to We Are Nox Ltd.

03Eligibility & the research-use-only restriction

By placing an order you confirm and warrant that:

• you are aged 18 or over;
• you are acquiring the products for research, reference or analytical purposes;
• you will use the products solely for those purposes and not for any other purpose;
• you will not administer the products to yourself, any other person, or any animal, and will not supply, offer, sell, distribute or otherwise make the products available to any other person for such purposes;
• you understand and accept that the products have not been evaluated or approved by the Medicines and Healthcare products Regulatory Agency (MHRA), the European Medicines Agency (EMA) or the U.S. Food and Drug Administration (FDA) for human or veterinary use;
• you accept full responsibility for the safe handling, storage, use and disposal of the products in accordance with applicable laws and regulations.

We reserve the right to refuse or cancel any order at our sole discretion where we have reason to believe these conditions are not, or will not be, met.

04Placing an order

Placing an order via the Site constitutes an offer by you to purchase the relevant products subject to these Terms. We will confirm receipt of your order by email, but no contract is formed until we send a separate dispatch confirmation. We may decline an order at our discretion, in which case any payment taken will be refunded in full.

You are responsible for the accuracy of your order details, including delivery address. We are not liable for any loss or delay arising from inaccurate or incomplete information provided by you.

05Pricing & payment

Prices on the Site are quoted in pounds sterling (GBP) and are inclusive of UK VAT at the prevailing rate where applicable. Delivery charges are additional unless expressly stated otherwise.

Payment is taken in full at the time of order via the payment methods made available at checkout. We reserve the right to amend prices at any time, but changes will not affect orders for which we have already issued a dispatch confirmation.

If a product is listed at an incorrect price due to a typographical or pricing-system error, we reserve the right to cancel the affected order and refund any payment taken.

06Delivery

We dispatch from our facility in the United Kingdom via Royal Mail Tracked 24 or equivalent insured courier. Estimated delivery times are stated at checkout and are indicative, not guaranteed.

We currently deliver to addresses within the United Kingdom only. We do not ship internationally at this time.

If a delivery is undeliverable for reasons within your control (incorrect address, repeated failed delivery, refusal to accept), the cost of redelivery or the value of any spoiled product is your responsibility.

07Risk & title

Risk of loss or damage to the products passes to you on delivery to the address you specify. Title to the products passes to you only when we have received payment in full.

08Cancellation, returns & refunds

Because the products are temperature-sensitive laboratory reference compounds, and because their integrity cannot be guaranteed once they have left our storage, we are unable to accept returns of products that have been dispatched, except in the following circumstances:

• Damaged or defective on arrival, if a product arrives damaged, broken or visibly compromised, contact hello@wearenox.io within 48 hours of delivery with photographs and we will arrange a replacement or refund.
• Incorrect product supplied, if we have shipped you the wrong product or quantity, contact us within 7 days of delivery and we will arrange a replacement at our cost.
• Failure to meet specification, if independent re-testing demonstrates a product fell materially short of its stated specification, we will refund or replace at our discretion.

Orders may be cancelled by you at any point before dispatch by emailing us at support@wearenox.io; once a dispatch confirmation has been issued, an order cannot be cancelled.

This clause does not affect any rights you may have as a consumer under the Consumer Rights Act 2015 where those rights apply (see clause 11).

09Product specification & warranty

We warrant that, at the point of dispatch, each product:

• matches its stated product specification;
• is free from material defect.

This warranty is limited to the price paid for the affected product. We give no other warranty, express or implied, and specifically exclude any warranty of fitness for any particular purpose other than in-vitro research reference use.

10Permitted use & customer obligations

You agree that you will:

• store, handle and dispose of products in accordance with the storage conditions stated on the label;
• comply with all laws and regulations applicable to your acquisition, possession and use of the products in your jurisdiction;
• not resell, redistribute, repackage or otherwise make products available to any third party for human or veterinary administration;
• not represent the products as being approved for any human or veterinary use;
• indemnify us against any claim, loss, damage or expense arising from your breach of these Terms or your misuse of the products.

11Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

Subject to the above, our total liability to you arising in connection with any order, whether in contract, tort (including negligence), under statute or otherwise, is limited to the price paid for the products to which the claim relates.

We are not liable for any indirect, consequential, special or punitive loss, including loss of profit, loss of data, loss of business or wasted expenditure, however caused.

Where you contract with us as a consumer (rather than in the course of research, business or institutional activity), nothing in these Terms restricts the statutory rights you have under the Consumer Rights Act 2015 or other applicable consumer-protection legislation.

12Data protection

We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please read it before placing an order.

13Intellectual property

The content, layout and design of this Site are operated by We Are Nox Ltd. You may not copy, reproduce or redistribute the Site or its content for commercial purposes without our prior written permission. Product names and third-party marks referred to on the Site remain the property of their respective owners.

14Force majeure

We are not liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to acts of God, war, civil unrest, industrial action, courier delays, supply-chain disruption, pandemic or government action.

15Governing law & jurisdiction

These Terms and any contract formed under them are governed by the laws of England and Wales. Any dispute arising in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales, save that we may bring proceedings against you in any jurisdiction in which you are domiciled or in which the products were delivered.

16Changes to these terms

We may update these Terms from time to time. The version applicable to your order is the version published on the Site at the time you placed it. We will retain previous versions on request.
